These Terms of Business govern the provision of accounting, tax, compliance, and advisory services by Coreadviz Digital Finance Ltd (“we”, “us”, “our”) to you (“the client”). By engaging our services, you agree to these terms.
1. Introduction
These Terms of Business, together with any engagement letter, proposal, or schedule of services, form a binding agreement between you and Coreadviz Accountants Ltd. They set out the basis on which we provide professional services and the respective rights and responsibilities of both parties.
2. Our Services
We offer a range of services including but not limited to:
- Preparation and submission of statutory accounts
- VAT, Corporation Tax, and Self-Assessment Tax returns
- Payroll, CIS, and RTI filings
- Business advisory, bookkeeping, and management accounts
The exact scope of services will be detailed in the engagement letter or schedule of services provided to you.
3. Professional Standards
We will observe and act in accordance with the bye-laws, regulations, and Code of Ethics of our relevant professional body (e.g. AIA, ICAEW, ACCA) and applicable UK law. We will provide services with reasonable skill and care and in line with professional standards.
4. Client Responsibilities
You agree to:
- Provide complete, accurate, and timely information in support of the services we provide.
- Maintain proper records in accordance with statutory obligations.
- Provide us access to relevant business and accounting systems.
- Notify us of any changes to the business, ownership, or tax status that could affect our work.
Failure to provide necessary information may result in delays or additional fees.
5. Scope and Limitations
Unless otherwise expressly agreed, our services do not include:
- Legal advice or representation
- Audit services (unless specifically agreed and a separate engagement is in place)
- Reviews of financial information not explicitly requested
- Acting as an intermediary for disputes with third parties
The specific scope of work agreed with you will be confirmed in your engagement letter.
6. Fees and Billing
- Fees are calculated on the basis of time spent and level of expertise required or as a fixed agreed fee.
- All fees are quoted exclusive of VAT.
- Payment terms will be set out in the engagement letter or invoice.
- We may require payment in advance for certain services.
You agree to pay all fees and expenses in accordance with our invoices. Unpaid fees may result in suspension of services.
7. Confidentiality and Data Security
We will treat all your information as confidential and will not disclose it without your consent unless required by law. We maintain appropriate security measures to protect client data in accordance with UK GDPR.
8. Data Protection
We are a data controller for personal data processed in the provision of our services. We will process personal data in accordance with UK GDPR and our Privacy Policy, which forms part of these Terms.
9. Complaints Handling
If you are unhappy with any aspect of our service, please contact us at coreadviz[@]gmail[dot]com. We will address your complaint in a timely manner.
If unresolved, you may have the right to refer your complaint to a relevant professional body or alternative dispute resolution service.
10. Limitations of Liability
We will not be liable for losses arising from:
- Inaccurate or incomplete information provided by you
- Losses attributable to external systems or events outside our reasonable control
- Regulatory penalties if caused by client omission or misrepresentation
Our total liability to you in connection with services provided shall be limited to the total fees paid by you for the specific engagement, to the extent permitted by law.
11. Professional Indemnity Insurance
We maintain professional indemnity insurance as required under applicable professional regulations. Details of the insurer and territorial coverage can be provided on request.
12. Termination
We may terminate our services with reasonable notice if:
- You breach these terms and fail to remedy within a reasonable period
- Fees remain unpaid
- Continuing to act would breach our professional obligations
You may terminate services at any time by giving notice in writing. No refunds will be made for fees already earned or services already performed.
13. Governing Law
These Terms of Business and any disputes arising under them are governed by and construed in accordance with the laws of England and Wales.
14. Amendments
We may revise these terms from time to time. We will notify you of significant changes where appropriate.
15. Acceptance
By engaging our services or allowing us to begin work on your behalf, you confirm acceptance of these Terms of Business.
